STANDARD TERMS & CONDITIONS

Below are the standard terms and conditions of Digido Studios (“Digido Studios”).

It is important that you (the Client) read through this document thoroughly and ensure you fully understand these terms and conditions and their implications before you commence any project(s) with Digido Studios. Please contact us if you do not understand any of the terms and conditions in this document.

This Client Services Agreement (“Agreement”) is entered into and is effective as of the Agreement Date (as defined by written correspondence, a quote or a contract) by and between Digido Studios and the person(s) or entity identified as the Client of this Agreement.

1. DEFINITIONS

Project refers to the photography, videography or graphic design production described on the Agreement that the Client is engaging Digido Studios to complete.

Service Provider refers to Digido Studios and its representatives, contractors or assistants engaged to carry out the Project.

Deliverables refer to the final images, video files, or graphic design files supplied to the Client under this Agreement.

Cancellation means the Project is cancelled by the Client and not rescheduled. In this event, the Client is responsible for the fees and charges outlined in Section 4.

2. PAYMENT TERMS

The Client agrees to pay a deposit of 50% of the quoted amount to secure the booking within 30 days of the Agreement. Digido Studios has no obligation to commence work on the Project until the deposit has been paid (unless otherwise specified in the quote / contract). Failure to pay the deposit constitutes a material breach of this Agreement, and Digido Studios shall have no obligation to perform any services until payment is received.

Agreement to proceed / acceptance of a quote constitutes acceptance of these Terms and Conditions.

3. DEPOSIT & FINAL PAYMENT

The deposit reserves the Services for the Project on the agreed date(s), time(s) and location(s).

The deposit is non-refundable unless cancellation is made more than 30 days prior to the commencement of the Project (see Section 4.3).

Final payment is due as outlined in the agreement or no later than 30 days after the Project completion date, unless otherwise agreed in writing.

Late payments may incur a 10% fee after 30 days from the invoice due date.

4. CHANGES TO SCHEDULE, POSTPONEMENT & CANCELLATION

The Client acknowledges that any changes to the Project may result in a loss to Digido Studios. The Client will notify Digido Studios as soon as possible of any required changes to minimise such loss.

4.1 POSTPONEMENT
If a Postponement occurs within 7 days of the scheduled Project date, the Client agrees to pay 25% of the total fee to Digido Studios as liquidated damages. This sum is due within 30 days of the Postponement and is in addition to the deposit and final payment.

Postponements made due to illness or severe weather will be accommodated without penalty where reasonable.

4.2 CANCELLATION
If the Client cancels the Project less than 2 days before the scheduled commencement date, the Client is liable to pay the entire remaining balance of the quoted amount within 30 days of cancellation.

If the Client cancels the Project less than 30 days prior to commencement, the 50% deposit will not be refunded.

If the Client cancels more than 30 days before the commencement date, the deposit will be refunded in full.

4.3 CANCELLATION BY DIGIDO STUDIOS
If Digido Studios must cancel due to illness, emergency or circumstances beyond control, and cannot be rescheduled – all fees paid will be refunded in full.

4.4 COLLECTION
In the event Digido Studios is required to recover outstanding fees through legal proceedings, the Client shall be liable for all reasonable costs and expenses incurred in such collection, including legal fees.

5. LIMITS OF LIABILITY

Digido Studios takes pride in its professional services and care for quality. In the unlikely event that Digido Studios is unable to deliver the Project due to unforeseen circumstances beyond its control, liability to the Client shall be limited solely to a refund of all monies paid. The Client’s sole remedy shall be that refund.

6. COPYRIGHT & INTELLECTUAL PROPERTY

All photography, videography and graphic design created by Digido Studios constitutes the copyrighted work of Digido Studios and remains the exclusive property of Digido Studios at all times unless otherwise specified.

The Client is granted a non-exclusive licence to use the final Deliverables for personal, promotional or internal use as agreed in writing. The Client may not sell, edit, resell or distribute the Deliverables for commercial gain without written consent.

6.1 RAW FOOTAGE & EDITABLE FILES
Raw footage or editable project files are not supplied unless specifically agreed and paid for. If requested, Digido Studios will quote a fee based on volume and licensing requirements.

7. MODEL RELEASE & CONSENT

The Client acknowledges that Digido Studios owns all rights to the content captured during the Project and grants permission for Digido Studios to use any portion of the Project for portfolio, publication, training, marketing, or promotional purposes, unless the Client requests otherwise in writing before commencement.

Consent is required for all person(s) included in any photographs or videos. This can be self-managed (e.g. the Client ensures all parties involved have provided informed consent) or this can be outsourced and managed by Digido Studios on a clients behalf. 7.1 MINORS
All subjects under 18 must have consent from a parent or guardian to be photographed or filmed, and must be accompanied by an adult at all times whilst interacting with Digido Studios and any affiliated third parties or sub-contractors (unless explicit prior parental/guardian permission is provided in writing prior). Working with Children Checks and proof of Child Safe Environment Training currency can be supplied on request.

8. LOCATION COSTS & TRAVEL FEES

The Client is responsible for all location fees, permits, parking and access costs for venues they select. Digido Studios is available within a 60 km radius of Christies Beach SA. Travel expenses vary depending on project requirements, if travel distances are known at the time of generating a quote, a flat rate will apply. If unknown at the time of generating a quote (or if actual kilometres differ from the quote) Digido Studios will refer to the ATO’s current guidance regarding cents per kilometre and charge accordingly.

9. PROJECT COVERAGE & ADDITIONAL WORK

The Client agrees to pay any additional photography, videography, editing or graphic design costs that arise outside the original scope of the quote. Additional work will be confirmed via writing and costs will be reflected in the final invoice.

10. EQUIPMENT & DATA PROTECTION

While equipment is maintained and tested regularly, Digido Studios is not responsible for loss of content caused by technical failure, weather, damage, theft or circumstances beyond reasonable control.

Digital files will be backed up for 60 days after delivery. Beyond that period, archival is not guaranteed.

11. DELIVERABLE ITEMS

The Client will receive the first draft of each Deliverable (e.g. photos, videos, or designs proof) including one round of changes (unless otherwise specified). Feedback from all stakeholders must be consolidated and provided as a single list, sent via email in a digital format (e.g. no photographs of hand-written notes) prior to the final delivery deadline. Further changes outside this round will incur additional fees (to be discussed and confirmed via email before additional fees apply).

Feedback is required within 14 days of receipt of first round deliverables, any feedback provided beyond this timeframe is at the discretion of Digido Studios to apply. Failure to provide feedback prior to the final delivery deadline is considered acceptance of the deliverables (unless otherwise specified within the agreement).

Final Deliverables will be provided via download link (OneDrive). USB delivery is available upon request at cost.

12. RUSH FEE

If the Client requests a turnaround of 7 days or less for final Deliverables, a rush fee of up to 50% will be added to the final invoice (unless otherwise specified).

13. JURISDICTION & VENUE

This Agreement shall be governed by and construed in accordance with the laws of South Australia. The parties agree that any legal proceedings related to this Agreement shall be filed within the State of South Australia.

14. DISCLAIMER

Photography, videography, graphic design, and related creative services involve subjective artistic judgment. Digido Studios warrants that all services will be performed with due care and skill; however, it does not guarantee that the final deliverables will precisely match the Client’s subjective preferences. Differences between expectation and outcome shall not be construed as non-performance or breach of contract.

This clause extends equally to ancillary professional services supplied by Digido Studios, including but not limited to facilitation, public speaking, consultation, and short-term project support.
